Directors Responsibilities:
J Pettitt: Overall responsibility for the commercial development and the operation of the company.
P Rowse: Responsible for the financial management of the company.
The other board members are non-executive directors with a brief to question and provide advice on the company’s activities.
Committees of Clean Air Power Board of Directors:
Audit Committee: Dr. Ulrich Wöhr (Chairman), Bernard Lord.
The Audit Committee is responsible for monitoring the quality of internal control, ensuring that the financial performance of the company is properly measured and reported on and for reviewing reports from the company’s auditors relating to the Company’s accounting and internal controls.
Nomination Committee: Rodney Westhead (Chairman), Bernard Lord, Dr. Ulrich Wöhr.
The purpose of the Nomination Committee is to establish a formal, rigorous and transparent procedure for the appointment of new Directors to the Board.
Remuneration Committee: Bernard Lord (Chairman), Dr. Ulrich Wöhr.
The purpose of the Remuneration Committee is to establish a formal transparent procedure for developing policy on executive remuneration and to set the remuneration packages of individual full-time Executive Directors.
Country of Incorporation and Operation:
Clean Air Power Ltd is incorporated in Bermuda and was admitted to AIM in February 2006. As a company incorporated in Bermuda and trading on AIM, the rights of Clean Air Power's shareholders may be different from the rights of shareholders of companies that are incorporated in the UK.
The majority of the company's revenue is derived from the USA at present, although revenue in both Australia and the UK is on an upward trend and becoming heavier in the mix.
Articles of Association:
As a Bermuda registered company, there are no Articles as such, but instead the Company operates under Bye-Laws, the latest of which were adopted by the Company on 17th February 2006. Please view the attached PDF file.
Trading Platforms:
Clean Air Power is listed on the Alternative Investment Market (AIM) under the ticker "CAP". The company's shares are traded on SEAQ and are included in the AMI segment of AIM.
